Privacy Policy

Emerce Agency LLC ("Emerce," "we," "us" or "our") respects your privacy. This Privacy Policy explains how we collect, use, disclose and protect personal information when you visit our websites, contact us, subscribe to communications, purchase or access the Inbox Operating System™ ("IOS") or another digital product, or engage us for freelance or consulting services (collectively, the "Offerings").

This Policy applies when Emerce decides why and how personal information is used. When we handle personal information solely on behalf of a client—for example, information in a client's Klaviyo, Shopify or other marketing account—we generally act as that client's service provider or processor. The client's privacy policy and our agreement with that client govern that processing.

1. Personal Information We Collect Information You Provide

Contact and inquiry information, such as your name, email address, telephone number, company, store URL and messages.

Business qualification information, such as whether you use email marketing, approximate monthly store revenue, goals, budget, timing and other information submitted through an inquiry form.

Files and content you choose to submit, including brand materials, creative assets, briefs and attachments.

Transaction and product-access information, such as the product purchased, price, currency, date, order status, discounts, tax information, download or access activity and support history.

Billing information. Payment-card and bank details are collected and processed by our payment providers; we generally receive transaction confirmations and limited billing details rather than full card numbers.

Subscription and communication preferences, including newsletter sign-up, consent records, tags, interests, opens, clicks, replies, unsubscribes and suppression status.

Service-engagement information, such as proposals, contracts, invoices, approvals, instructions, meeting notes and records of work performed.

Feedback, survey responses, testimonials, reviews and other content you choose to provide.

Information Collected Automatically

When you use the Offerings, we and our service providers may automatically collect device and usage information, including IP address, browser and device type, operating system, referring and exit pages, pages or content viewed, links clicked, timestamps, approximate location derived from IP address, cookie or similar identifiers, and information about how you interact with emails and checkout or download pages.

Information From Other Sources

We may receive information from payment processors, ecommerce and digital-delivery platforms, email platforms, analytics and advertising providers, referral partners, social networks, publicly available business sources and our clients. If another person purchases a product for you or refers you to us, we may receive your contact details from that person.

Client Data

Clients may give us access to customer, subscriber and campaign information in their systems. We use that information only to provide the agreed services, follow documented client instructions, protect the account, meet legal obligations and exercise or defend legal claims. Clients are responsible for providing lawful instructions, notices and permissions for the data they make available to us. Please do not send sensitive personal information unless it is necessary, lawful and expressly agreed in writing.

2. How We Use Personal Information

Provide, operate, maintain, personalize and improve the Offerings.

Respond to inquiries; evaluate potential engagements; prepare proposals; communicate with clients; and perform freelance, consulting, strategy, copy, design, implementation and related services.

Process orders and payments; provide receipts; deliver digital products; manage licences, downloads, bonuses and product access; prevent duplicate or fraudulent transactions; and provide support.

Send transactional, service and administrative communications, including order, access, security, policy and account notices.

Send newsletters, educational content and marketing where permitted, and manage consent, unsubscribe and suppression preferences.

Measure traffic, engagement, conversions and campaign effectiveness; troubleshoot; perform research; and improve content, products and services.

Protect the Offerings, our clients and users; detect spam, fraud, abuse, infringement, security incidents and violations of our terms.

Comply with law, tax, accounting and recordkeeping duties; respond to lawful requests; and establish, exercise or defend legal claims.

Carry out another purpose disclosed at collection or with your consent.

3. Legal Bases for UK and EEA Processing

Where UK or European Economic Area data-protection law applies, we rely on one or more of the following legal bases:

Contract: processing needed to take requested pre-contract steps, complete a purchase, deliver a product or perform an agreement.

Legitimate interests: operating and improving our business, responding to business inquiries, maintaining security, preventing fraud, understanding performance, communicating with business contacts and protecting legal rights, balanced against your rights and expectations.

Consent: where you affirmatively agree, including for certain marketing, non-essential cookies or a new use of information. You may withdraw consent at any time without affecting prior lawful processing.

Legal obligation: processing needed for tax, accounting, consumer-protection, regulatory or other legal requirements.

4. Cookies and Similar Technologies

We and our providers may use cookies, pixels, tags, local storage and similar technologies to run the site, remember choices, secure forms and checkout, understand usage, measure email and advertising performance and, if enabled, personalize or target advertising. These technologies may collect the device and usage information described above.

Where required, non-essential technologies will be used only after consent. You can use our cookie controls, if displayed, and your browser settings to reject or delete cookies. Blocking some technologies may affect functionality. We also honor legally required browser-based universal opt-out signals, such as Global Privacy Control, where they apply to our processing.

Google reCAPTCHA may be used to protect forms from spam and abuse. Its collection and use of information are governed by Google's applicable privacy policy and terms.

5. How We Disclose Personal Information

We may disclose personal information to the following categories of recipients for the purposes described in this Policy:

Service providers and contractors that support hosting, forms, security, ecommerce, payment processing, accounting, digital delivery, email, customer support, analytics, advertising, file storage, project management and professional services.

Platforms you direct us to use or connect in connection with a client engagement, including ecommerce, customer-data, email, SMS, analytics, design and collaboration platforms.

Professional advisers, auditors, insurers, financial institutions and tax authorities where reasonably necessary.

Government authorities, courts, regulators or other parties when required by law or reasonably necessary to protect rights, safety, security or the integrity of the Offerings.

A buyer, investor, lender or successor in connection with an actual or proposed financing, merger, acquisition, reorganization, asset sale or similar business transaction, subject to appropriate safeguards.

Other parties at your direction, with your consent, or as disclosed when the information is collected.

We do not sell personal information for money. Some analytics or advertising disclosures through cookies or similar technologies may be treated as a "sale," "sharing" or "targeted advertising" under certain U.S. state laws. Where those laws apply, you may opt out through the site's privacy or cookie controls or by contacting us. We do not knowingly sell or share the personal information of anyone under 18.

6. Data Retention

We retain personal information only as long as reasonably necessary for the purposes described in this Policy, including to provide products and services, maintain access and licence records, comply with tax and accounting rules, resolve disputes, enforce agreements and maintain security. Retention depends on the nature of the information, our relationship, legal limitation periods, contractual requirements, sensitivity and risk. For example, transaction, contract and invoice records may be kept for the legally required tax and accounting period; marketing information is kept until you unsubscribe or it is no longer useful, with limited suppression records retained to honor opt-outs; and inquiry or support records are deleted or anonymized when no longer reasonably needed. Backup copies may remain for a limited period before being overwritten.

7. Security

We use reasonable administrative, technical and organizational safeguards designed to protect personal information. No system, transmission or storage method is completely secure, and we cannot guarantee absolute security. You are responsible for protecting credentials and notifying us promptly of suspected unauthorized access relating to the Offerings.

8. International Transfers

Emerce is based in the United States, and information may be processed in the United States and other countries where our providers operate. Those countries may have different data-protection laws. Where required for UK or EEA information, we use an approved transfer mechanism or other lawful safeguard, such as an adequacy decision, standard contractual clauses and any required supplementary measures. Contact us to request information about applicable safeguards.

9. Your Privacy Rights

Depending on where you live and subject to legal exceptions, you may have the right to:

Know or confirm whether we process your personal information and access or obtain a portable copy of it.

Correct inaccurate personal information.

Delete personal information.

Restrict or object to certain processing, including direct marketing.

Withdraw consent where processing is based on consent.

Opt out of a sale, sharing, targeted advertising or certain profiling, where applicable.

Appeal a refusal to act on a privacy request, where applicable.

Lodge a complaint with a regulator, including the UK Information Commissioner's Office or the data-protection authority where you live or work in the EEA.

To exercise a right, contact us using Section 15. Describe your request and the email address or other information associated with you. We may ask for information reasonably necessary to verify identity and authority. An authorized agent may submit a request where permitted by law, but we may require proof of authorization and direct identity confirmation. We will not discriminate against you for exercising a legal privacy right.

If we deny a request and applicable law provides an appeal right, reply to our decision with "Privacy Appeal" in the subject line and explain the basis of your appeal. We will respond within the period required by law.

RIGHT TO OBJECT: If UK or EEA law applies, you may object at any time to processing for direct marketing. You may also object to processing based on legitimate interests; we will stop unless we demonstrate compelling legitimate grounds or need the information for legal claims.

10. Marketing Communications

You may unsubscribe from marketing emails using the link in any such email or by contacting us. We may still send non-marketing communications concerning an order, product access, active client engagement, security or legal notice. We retain limited information necessary to honor an unsubscribe request.

11. Children's Privacy

The Offerings are intended for adults and business users and are not directed to anyone under 18. We do not knowingly collect personal information from children. If you believe a child has provided personal information, contact us so we can investigate and take appropriate action.

12. Third-Party Sites and Services

The Offerings may link to or integrate with third-party sites and services. Their privacy practices are governed by their own notices. We are not responsible for the privacy, security or content of third-party services.

13. Changes to This Policy

We may update this Policy from time to time. We will post the revised version and change the effective date. If a change materially affects how we use information already collected, we will provide any additional notice or obtain consent required by law.

14. Jurisdiction-Specific Disclosures

Residents of U.S. states with comprehensive privacy laws may exercise applicable access, correction, deletion, portability, opt-out and appeal rights as described above. The categories of personal information collected, sources, business purposes and recipient categories are described in Sections 1 through 5. We do not use sensitive personal information to infer characteristics about individuals. Nothing in this Policy limits rights that cannot lawfully be waived.
